Introduction

These Terms & Conditions govern your use of Seosopher, the AI and NLP copywriting platform available at https://seosopher.com and https://app.seosopher.com.

Seosopher is operated by:

By creating an account, starting a free trial, subscribing to a plan or inviting a team member, you agree to these terms. If you do not agree to them, please do not use Seosopher.

In these terms, “we”, “us” and “our” mean [LEGAL ENTITY NAME]. “You” and “your” mean the person or the organisation that holds the account. If you are agreeing to these terms for a company, an agency or another organisation, you confirm that you have the authority to bind that organisation, and “you” means that organisation.

1. What Seosopher Is

Seosopher is a subscription software service for copywriters, marketing teams and copywriting agencies. It is a place to write, analyse and manage written content. The platform includes:

  • an AI-powered emotions and sentiment analyser, which shows you which emotions and sentiment your text is likely to convey, section by section, before you publish it;
  • text statistics, including word count, keyword placement, estimated reading time and a Flesch Reading Ease score;
  • copywriting formulas, either the ones built into the platform or your own;
  • document import from Google Drive and SharePoint;
  • project management for teams, where an administrator creates clients, projects and articles and assigns copywriters and editors, with deadlines, a Kanban board, version control and in-platform comments; and
  • an interactive dashboard showing your projects and key metrics in one place.

The features available to you depend on the plan you are subscribed to. The plan pages on our website list what is included in each one.

Seosopher is a writing and analysis tool. It does not publish content to social networks, websites or any other channel on your behalf, and it does not buy, generate or supply traffic, engagement or backlinks.

2. Your Account

To use Seosopher you need an account. You must give accurate and current information when you register, and keep it up to date.

You are responsible for keeping your login details confidential and for everything that happens under your account. Tell us at support@seosopher.com as soon as you become aware of any unauthorised access.

You must be at least 16 years old to use Seosopher, and old enough under the law of your country to enter into a binding contract in order to subscribe to a paid plan.

One account is for one person. Do not share a single login between several people. If you need more people on the platform, invite them as team members under an Agency plan.

3. Team Members, Roles and Client Records

On plans that support teams, the account administrator can invite team members by e-mail and assign them roles such as Copywriter or Editor, create client records, and create projects and articles.

If you are the administrator:

  • you are responsible for who you invite, what access you give them and what they do on the platform;
  • you are responsible for removing access when someone leaves your team;
  • you must have a lawful basis for adding any personal data about your team members or your clients to the platform, and you must tell those people that you are doing so; and
  • you remain responsible for paying for the plan, regardless of which team member used it.

If you have been invited to Seosopher as a team member, the administrator of that account controls your access, can see the work you produce on the platform, and can remove your access at any time. These terms apply to you as well.

We act on the administrator’s instructions in relation to the content and records held in that account. If you are a team member and you want your personal data removed, contact your administrator first, and contact us if that does not resolve it.

4. Plans, Pricing and Your Free Trial

Seosopher is sold as a monthly subscription. Current plans, prices and what each plan includes are shown on our Pricing page. Prices are in US dollars unless stated otherwise. The price you will pay, including any tax, is shown to you at checkout before you confirm.

New accounts can start with a free 14-day trial. During the trial you get access to the plan you selected. If you entered payment details when you started the trial, your paid subscription begins automatically when the trial ends, unless you cancel before then. Cancel at any point during the trial and you will not be charged.

We may change our prices. If a change affects a plan you already subscribe to, we will e-mail you before it takes effect, and the new price applies from your next billing period. If you do not want to pay the new price, cancel before it applies.

Any promotional price or discount applies only on the terms stated at the time of the offer.

5. Payments, Merchant of Record and Tax

Payments for Seosopher subscriptions are processed by AgentaOS, acting as our Merchant of Record.

This means AgentaOS, through its Estonian entity, is the legal seller of record for your purchase. In practice:

  • AgentaOS appears on your card or bank statement, not Seosopher. This is normal.
  • AgentaOS issues your invoice and your receipt. The receipt is e-mailed to you and shows the product, the seller and the amount.
  • AgentaOS calculates and collects any VAT or sales tax owed on the sale, based on where you are and what you are buying, and remits it to the relevant authority. Tax is shown at checkout and itemised on your invoice.
  • If you are buying as a business, you can normally enter your VAT or tax number at checkout so that it appears on the invoice.

We accept payment by card and by the digital wallets offered at checkout. Your subscription starts once payment is confirmed.

Your agreement for the software itself, for support and for how the service is delivered is with us, and these terms govern it.

6. Renewals and Cancellation

Subscriptions renew automatically at the end of each billing period, and your payment method is charged for the next period, until you cancel.

You can cancel at any time. You can cancel:

Cancelling stops future renewals. It does not cut short the period you have already paid for: you keep access until the end of that period, and nothing is charged after it. Cancelling does not by itself refund the current period. Refunds are covered in section 7.

If a renewal payment fails, we and our Merchant of Record may retry it. If payment still does not go through, your subscription may be paused or cancelled and access suspended.

Export anything you want to keep before your subscription ends. We keep account data for a reasonable period after cancellation in case you come back, and then delete it.

7. Refunds

Your first payment. If Seosopher is not right for you, e-mail support@seosopher.com within 14 days of your first subscription payment, from the address on your account, and we will refund it in full. You do not have to give a reason.

Renewals. Renewal payments are not normally refunded, because you can cancel at any time before a renewal to avoid the charge. If a renewal was clearly unintended, or the service was unavailable for a significant part of the period you paid for, contact us and we will look at it and refund where that is fair.

If something is broken. If Seosopher does not work as described and we cannot fix it for you, we will refund the affected period regardless of the timings above.

How refunds reach you. Approved refunds are issued by AgentaOS as our Merchant of Record, back to your original payment method. Allow for your bank’s normal processing time.

If you cannot reach us. We aim to answer support e-mail within 2 business days. If you have written to us about a refund and had no reply within 7 days, you can contact AgentaOS directly using the details on your receipt.

Consumers in the EU, EEA and UK. If you are buying as a consumer rather than for a business, you have a statutory right to withdraw from a distance contract within 14 days. Where you ask us to start providing the service immediately and acknowledge that you lose that right once the service has been fully performed, the statutory right may no longer apply. Nothing in these terms takes away consumer rights you have under the law of your own country.

8. Your Content

“Your content” means everything you put into Seosopher or produce with it: drafts, articles, notes, buyer personas, copywriting formulas you create, client records, comments and files you import.

You own your content. We do not claim any ownership of it.

You grant us a limited, non-exclusive, royalty-free licence to host, store, copy, transmit, display and process your content, and to pass it to the third-party services described in section 12, strictly so that we can run the platform for you. That is the only reason we use it. This licence ends when you delete the content or close your account, apart from copies we are required to keep by law or that sit in routine backups until those backups expire.

We do not use your content to train our own or anyone else’s AI models.

You are responsible for your content. You confirm that you have the rights to everything you put into the platform, including anything you import from Google Drive or SharePoint and any material belonging to your clients, and that using it in Seosopher does not breach anyone else’s rights, any confidentiality obligation you owe, or any law.

Where your content includes personal data about other people, you are the controller of that data and we process it on your behalf. Our Privacy Policy explains how. If you need a data processing agreement, write to support@seosopher.com and we will provide one.

9. AI Features and How to Use Them Responsibly

Seosopher uses AI and natural language processing to analyse text and to help you write. These features are assistive. They are not a substitute for your own judgement.

Please understand the following before you rely on them:

  • Analysis is an estimate, not a measurement. Emotion scores, sentiment readings, readability scores and keyword analysis are statistical estimates of how text is likely to land. Real readers may react differently.
  • AI output can be wrong. Text, suggestions and rewrites produced with AI assistance can be inaccurate, outdated, biased or misleading. Check anything you intend to publish, and check any factual claim.
  • AI output is not guaranteed to be original. Similar prompts can produce similar results for different users. We cannot promise that AI-assisted output is unique, that it does not resemble existing material, or that it qualifies for copyright protection in your country. If originality matters to you, review and rewrite before publishing.
  • We do not guarantee results. Seosopher does not promise any particular search ranking, traffic level, conversion rate or commercial outcome. Those depend on your writing, your market and on search engines and platforms we do not control.
  • You are the publisher. Once you take content out of Seosopher and publish it, it is yours. You are responsible for it, including for any disclosure of AI assistance that a client, a platform or the law requires you to make.

10. The External Reading Camera Feature

Seosopher includes an optional feature called External Reading, which uses your device camera to read facial expressions while you read your own text back, and maps those expressions onto the text as emotions.

Because this feature involves a camera and a person’s face, it has its own rules:

  • It is entirely optional and off by default. It only runs when you click External Reading and grant camera permission in your browser. You never have to use it, and every other part of Seosopher works without it.
  • Use it on yourself only. Do not use it while anyone other than you is in front of the camera, and do not use it to capture, analyse or record another person.
  • It is not identification. The feature is not designed or permitted to be used to identify anyone, to verify identity, or to draw conclusions about a person’s health, state of mind or character.
  • Administrators must not require it. If you run an Agency account, you must not require your copywriters, editors or any other team member to use External Reading, must not make their use of it a condition of getting work, and must not use anything it produces to monitor, assess, rate or make employment decisions about them. Using emotion-inference technology on people at work is restricted or prohibited in some countries, including under European Union law.
  • You can stop at any time. Revoke camera permission in your browser and the feature stops. Withdrawing it does not affect anything else in your account.

What the feature does with camera data, how long anything is kept and who it is shared with is set out in our Privacy Policy. If you have questions before you try it, write to support@seosopher.com.

11. Acceptable Use

Use Seosopher for legitimate copywriting and content work. You agree not to use it to produce, store, analyse or distribute:

  • content that infringes someone else’s copyright, trademark or other rights, or that you do not have the rights or licence to use;
  • adult or sexually explicit material of any kind, including material that is AI-generated;
  • content designed to impersonate a real person or organisation, including deepfake scripts and content written to be passed off as somebody else’s statement;
  • content promoting illegal or age-restricted goods and services, including drugs, weapons, alcohol, tobacco and vaping products, where doing so is unlawful;
  • content promoting counterfeit goods, pirated material, or gambling, lending, debt relief or other regulated financial services that you are not licensed to offer;
  • content promoting multi-level marketing, pyramid schemes or similar arrangements;
  • phishing content, malware, spyware, stalkerware, or copy written to help someone monitor another person covertly;
  • content that is defamatory, obscene, hateful or harassing, or that incites violence or discrimination against any person or group;
  • deliberate misinformation, fake reviews, fake testimonials, invented statistics or fabricated endorsements; or
  • bulk, low-value content produced purely to manipulate search rankings rather than to be read.

You also agree not to:

  • resell, sub-license or give access to Seosopher to anyone outside the terms of your plan;
  • use the platform to build or train a competing product, or to benchmark it for a competitor without our written permission;
  • scrape the platform, or access it by automated means other than a feature we provide;
  • attempt to gain unauthorised access to our systems or another customer’s account, probe or scan our infrastructure, or place unreasonable load on it; or
  • reverse engineer, decompile or copy any part of the software.

12. Third-Party Integrations and Services

Seosopher connects to and relies on services run by other companies. This includes document storage you choose to connect, such as Google Drive and SharePoint, and the natural language processing and machine learning services that power our analysis features.

When you connect a document storage account, you authorise us to access the documents you select so we can import them. You can disconnect at any time from within Seosopher and from within the third-party service itself.

To analyse your text, the platform sends it to those processing services. Which providers we use, and how they handle the text, is described in our Privacy Policy. Do not put content into Seosopher that you are not permitted to send to a third-party processor.

Third-party services change, restrict and withdraw their APIs without notice to us. If one of them changes or stops, a Seosopher feature that depends on it may stop working or may work differently. We will do what we reasonably can to restore or replace it, but we cannot guarantee the continued availability of any specific integration, and a change made by a third party is not a fault in our service.

13. Intellectual Property

Seosopher, the software, the website, the interface, the built-in copywriting formulas, the documentation and all related material are owned by us or our licensors, and all rights are reserved. “Seosopher” and the Seosopher logo are our trademarks.

Subject to these terms and to payment of your subscription, we grant you a limited, non-exclusive, non-transferable right to use the platform for your own business purposes for as long as your subscription lasts. Nothing more is granted.

You may not copy, republish, sell, rent, sub-license or redistribute any part of the platform or its content, and you may not remove or obscure any notice of ownership.

None of this affects your ownership of your own content under section 8, or your right to use and publish the work you produce with the platform.

You may link to our public pages without asking, as long as the link is not misleading and does not imply that we endorse you or your products. Do not use our logo or brand assets without our written permission, and do not frame our pages or otherwise alter how they appear.

14. Confidentiality

If you work with clients through Seosopher, we understand that what you put into the platform may be commercially sensitive.

We will keep your content confidential and will not disclose it to anyone except: our staff and contractors who need it to run or support the service and who are bound by confidentiality obligations; the service providers described in section 12; and where we are required to disclose it by law, in which case we will tell you unless we are prohibited from doing so.

You agree to keep confidential any non-public information about the platform that we share with you, including pre-release features and pricing offered to you specifically.

15. Availability, Results and Support

We work to keep Seosopher available, but we do not promise that it will be uninterrupted or error-free. We may take it down for maintenance, upgrades or urgent fixes, and we will try to do planned work outside busy hours.

Keep your own copies of work that matters to you. We take reasonable steps to back up data, but we are not a backup service, and section 18 limits our liability for lost or corrupted data.

Support. Write to support@seosopher.com with any question about your account, your subscription, a technical problem or a refund. We aim to reply within 2 business days.

16. Suspension and Termination

You can stop using Seosopher whenever you like by cancelling as described in section 6, and you can ask us to delete your account by writing to support@seosopher.com.

We may suspend or terminate your account, giving notice where it is reasonable to do so, if:

  • you breach these terms, and in particular sections 10 and 11;
  • payment for your subscription fails or is reversed;
  • your use of the platform puts our systems, our other customers or our service providers at risk; or
  • we are required to act by law.

Where a breach is serious, or where waiting would cause harm, we may suspend first and explain afterwards. If we terminate your account for a reason that is not your fault, we will refund the unused part of the period you have paid for.

On termination your right to use the platform ends, team member access ends, and we will delete your data after a reasonable retention period. Export what you need first.

17. Disclaimers

To the extent permitted by applicable law, we exclude all representations, warranties and conditions relating to the website and the platform that are not expressly set out in these terms, including any implied warranties of satisfactory quality, fitness for a particular purpose and the use of reasonable care and skill.

Nothing in these terms will:

  1. limit or exclude our or your liability for death or personal injury caused by negligence;
  2. limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  3. limit any liability in a way that is not permitted under applicable law; or
  4. exclude any liability that cannot be excluded under applicable law.

We do not warrant that the analysis, scores or AI-assisted output produced by the platform are accurate, complete or suitable for any particular purpose, and section 9 explains why.

While we try to keep the information on our website correct, we do not warrant that it is complete or accurate, and we do not commit to keeping it up to date.

18. Limitation of Liability

The limits in this section are subject to section 17 and govern all liability arising under these terms, whether in contract, in tort including negligence, or for breach of statutory duty.

To the extent permitted by applicable law, we are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business or opportunity, loss of goodwill, or any indirect or consequential loss.

We are not liable for loss or corruption of content where you have not kept your own copy, for the acts or omissions of the third-party services described in section 12, or for any consequence of content you chose to publish after producing it with the platform.

To the extent permitted by applicable law, our total liability to you in any twelve-month period is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

19. Indemnity

You agree to indemnify us against claims, damages, losses, costs and expenses arising from your breach of these terms, from your content, from content you publish after producing it with Seosopher, or from your use of the External Reading feature in breach of section 10.

20. Changes to These Terms

We may update these terms, for example to reflect changes to the platform, to our payment arrangements or to the law. The date at the top of this page shows when they were last changed.

If a change materially affects your rights, we will tell you by e-mail or by a notice in the platform before it takes effect. If you keep using Seosopher after that, you accept the updated terms. If you do not accept them, cancel your subscription before the change applies.

21. Governing Law and Disputes

These terms are governed by the laws of North Macedonia, and the courts of North Macedonia have jurisdiction over any dispute.

If you are a consumer resident in the European Union, the EEA or the United Kingdom, this does not remove the protection of the mandatory consumer law of your country of residence, and you may be able to bring proceedings there.
